End-User License Agreement
This End-User License Agreement (“EULA”) is between Conneli Inc. (“Conneli”, “we”, “us”, or “our”) and the organization, and the individual accepting on its behalf, that uses the Conneli platform and related services (“you” or “Licensee”). It applies alongside our Terms of Service and Privacy Policy. If there is a conflict between this EULA and the Terms of Service regarding your use of the software, this EULA controls.
By creating an account, accessing the Services, or connecting a third-party integration such as QuickBooks Online, you agree to this EULA. If you are accepting on behalf of an organization, you represent that you have authority to bind it.
1. License Grant
Subject to this EULA and payment of applicable fees, Conneli grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Conneli software and services for your organization's internal business purposes during your subscription term. The software is licensed, not sold.
2. Restrictions
You agree not to, and not to permit others to:
- copy, modify, reverse engineer, decompile, or attempt to extract the source code of the software, except where permitted by law
- sell, rent, lease, sublicense, or otherwise make the software available to third parties outside your organization
- use the software to violate any law or third-party right, or to transmit malicious code
- circumvent security, access, or usage controls, or interfere with the operation of the software or its infrastructure
3. Ownership
Conneli and its licensors retain all rights, title, and interest in the software, including all improvements and derivatives. No rights are granted except as expressly stated in this EULA. You retain ownership of your data as described in the Terms of Service.
4. Third-Party Integrations, Including QuickBooks Online
The software can connect to third-party services, including QuickBooks Online provided by Intuit Inc. (“Intuit”). Connecting an integration is optional and can only be done by an authorized administrator of your organization.
4.1 Authorization
By connecting QuickBooks Online, you authorize Conneli to access your QuickBooks company through Intuit's authorization process and to create and update customer, invoice, payment, refund, and void records in that company to reflect activity in Conneli. You confirm that you have the right to grant this access.
4.2 Your Responsibility
You are responsible for reviewing the data synced to QuickBooks and for the accuracy of your books and records, tax filings, and financial reporting. Conneli is not an accounting, tax, or bookkeeping service and does not provide financial or tax advice.
4.3 Intuit's Terms
Your use of QuickBooks Online remains subject to your agreement with Intuit, including the QuickBooks Online Terms of Service and the Intuit Privacy Statement. Conneli is not affiliated with, endorsed by, or sponsored by Intuit, and is not responsible for the availability, performance, or changes to QuickBooks Online or Intuit's APIs, which may interrupt or change the integration at any time.
4.4 Disconnecting
You may disconnect QuickBooks Online at any time from the Integrations tab in Conneli settings, or by revoking access from your Intuit account. On disconnect, we revoke and delete the stored authorization credentials as described in our Privacy Policy. Records already created in QuickBooks remain in your QuickBooks company.
4.5 Trademarks
QuickBooks and Intuit are registered trademarks of Intuit Inc.
5. Data and Privacy
Our collection and use of information, including information obtained through integrations, is described in the Privacy Policy. We use QuickBooks data solely to provide the integration, and we do not sell it.
6. Fees and Term
Fees, billing, renewals, and cancellation are governed by the Terms of Service. This EULA remains in effect for as long as you use the software.
7. Termination
This EULA and your license end automatically if you breach it, if your subscription is cancelled or lapses, or if we suspend your account under the Terms of Service. On termination you must stop using the software and disconnect any integrations. Sections 3, 8, 9, and 10 survive termination.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the software and integrations are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the software or any integration will be uninterrupted, error-free, or that data will sync without delay or failure.
9. Limitation of Liability
To the maximum extent permitted by law, Conneli's liability arising out of this EULA is subject to the limitations and exclusions in Section 9 of the Terms of Service, including for any errors, omissions, or failures in data synced to third-party accounting services.
10. Governing Law and Disputes
This EULA is governed by the laws of Canada, and disputes are resolved as described in the Terms of Service.
11. Changes
We may update this EULA periodically. Continued use of the software after an update constitutes acceptance of the revised EULA.
