Terms of Service

Effective Date: March 1, 2026

1. Services Overview

Conneli Inc. (“Conneli”, “we”, “us”, or “our”) provides a software platform for associations and organizations to manage membership, events, directories, websites, communications, and related operations (the “Services”). The Services are provided on a month-to-month subscription basis unless otherwise agreed in writing.

2. Subscription & Billing

2.1 Month-to-Month Subscription

Subscriptions renew automatically on a recurring monthly basis. Associations may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.

2.2 Failed Payments

If a payment attempt fails, access to the Services will continue for up to thirty (30) days following the failed renewal date. Conneli will automatically retry payment during this period.

If payment is not successfully processed within thirty (30) days, the account will be suspended. Upon suspension, the Association’s website, email services, and platform access will cease functioning.

2.3 No Refunds

All subscription fees are non-refundable.

3. Data Ownership & Access

3.1 Ownership

Associations retain full ownership of all data uploaded to or generated within the platform (“Association Data”). Conneli does not claim ownership of Association Data.

3.2 Access to Data

Associations may request a copy of their data at any time by contacting Conneli. Data exports will be provided in a commercially reasonable format.

3.3 Post-Termination Data Retention

If a subscription lapses, Association Data will be placed into an archived state. Archived accounts are not accessible through the platform.

Conneli does not guarantee indefinite retention of archived data. Archived data is not subject to uptime or maintenance guarantees. Conneli may permanently delete archived data after a commercially reasonable retention period.

4. Paid Onboarding Services

Conneli may offer optional onboarding services under a separate written agreement. Paid onboarding services may include data migration, website configuration and build, directory setup, payment processor configuration, custom design within platform constraints, and administrative training.

Onboarding fees are due in full prior to commencement of work. Subscription billing begins when the Association receives full platform access following onboarding completion.

Associations have the right to review and approve all design work created under the onboarding package prior to launch. Associations may opt out of paid onboarding and instead utilize free self-service onboarding.

5. Intellectual Property

5.1 Platform Ownership

Conneli retains all rights, title, and interest in the platform software, source code, architecture, tools, infrastructure, improvements, and derivatives. The Services are licensed, not sold.

5.2 Association Content

Associations grant Conneli a limited, non-exclusive license to use their trademarks, logos, branding, and content solely for providing Services and performing onboarding services.

Conneli reserves the right to reference the Association’s name and logo in marketing materials unless the Association opts out in writing.

5.3 Non-Transferability

Websites created using Conneli tools operate exclusively within the Conneli platform and are not transferable to third-party hosting environments.

6. Acceptable Use

Associations are solely responsible for all content uploaded to the platform. The Services are unmoderated.

Associations agree not to use the Services to violate applicable laws, infringe intellectual property rights, defame or harass others, transmit spam or malicious code, or engage in fraudulent or abusive activity.

Conneli reserves the right to suspend or terminate accounts that violate these Terms.

7. Indemnification

The Association agrees to indemnify and hold harmless Conneli, its officers, directors, and employees from any claims, damages, losses, or expenses arising from Association Data, content uploaded by the Association, violations of law, or infringement of third-party rights.

8. Service Availability

Conneli provides the Services on a commercially reasonable, best-efforts basis and does not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, Conneli’s total aggregate liability arising out of or relating to the Services shall not exceed the total subscription fees paid by the Association to Conneli during the twelve (12) months preceding the event giving rise to the claim.

Conneli shall not be liable for indirect damages, consequential damages, lost profits, loss of revenue, loss of data, or business interruption.

10. Dispute Resolution

The parties agree to attempt informal resolution of disputes for a period of thirty (30) days. If unresolved, disputes shall be resolved through binding arbitration in Canada. The parties waive any right to participate in class actions.

11. Governing Law

These Terms are governed by the laws of Canada.

12. Modifications

Conneli may update these Terms periodically. Continued use of the Services constitutes acceptance of the revised Terms.
